PURCHASE TERMS AND CONDITIONS

1. GENERAL PROVISIONS

1.1. These purchase and sale rules (hereinafter – the Rules) govern the mutual rights, obligations, and responsibilities of a person purchasing goods via the online store www.brasa.lt (hereinafter – the Buyer) and UAB “Brasa” (hereinafter – the Seller) when goods are purchased from the online store. By purchasing goods from the online store, the Buyer confirms their agreement with and acceptance of these Rules.

2. CONCLUSION OF THE PURCHASE AND SALE AGREEMENT

2.1. The purchase and sale agreement between the Buyer and the Seller shall be deemed concluded from the moment the Buyer, having formed a shopping cart in the online store, entered their name, surname, delivery address, exact postal code, selected a payment method, reviewed these Rules, and clicked the “Order” button. The agreement remains in force until the complete fulfillment of all obligations arising therefrom. Should the Buyer disagree with any part or all of the Rules, they must refrain from placing an order.
2.2. Each agreement concluded between the Buyer and the Seller is stored in the Seller's database.
2.3. By concluding the agreement, the Buyer consents to the issuance of an electronic VAT invoice with purchase details, which shall be sent to the email address provided during purchase. The invoice shall be sent via email within three business days from the moment the Buyer collects the goods or the Seller hands them over to the courier (in case of delivery by courier).

3. BUYER’S RIGHTS

3.1. The Buyer has the right to purchase goods from the online store in accordance with these Rules and the applicable laws of the Republic of Lithuania.
3.2. The Buyer has the right to return or exchange goods of satisfactory quality within 14 days from the date of purchase. Returns are accepted upon the Buyer delivering the goods to a UAB “Brasa” showroom and upon confirmation by an authorized UAB “Brasa” employee that the goods are in proper condition and subject to warranty terms. The terms of return are outlined in the “Returns” section.
3.3. The Buyer's right to withdraw from the contract concluded in the online store shall not apply in the following cases:
3.3.1. for contracts concerning packaged goods that were unsealed after delivery;
3.3.2. for goods that, due to their nature, become inseparably mixed with other items after delivery;
3.3.3. in other cases where withdrawal from the contract is not permitted under the laws of the Republic of Lithuania;
3.3.4. the Buyer's right to terminate the purchase and sale contract shall be exercised in accordance with the Civil Code of the Republic of Lithuania and Government Resolution No. 738 of 22 July 2014 on the Approval of Retail Trade Rules. The Buyer may exercise this right only if the goods have not been damaged, altered in appearance or packaging, and have not been used.

4. BUYER’S OBLIGATIONS

4.1. The Buyer must pay the full price of the goods and delivery charges, as well as any other payments indicated when concluding the contract, and accept the ordered goods. Payment must be made via the Buyer’s online banking system (linked from the online store if the Seller has an agreement with the bank), or by transferring the funds to the Seller’s account specified in the “Payment” section.
4.2. An administrative fee of EUR 2.50 including VAT shall apply to carts with a total value not exceeding EUR 10.00 including VAT. By confirming these Rules, the Buyer agrees to this administrative fee and undertakes to pay it to the Seller. If the Buyer is refunded for the goods, the administrative fee shall also be refunded, if it had been paid.
4.3. If the data provided in the registration form changes, the Buyer must update it without delay.
4.4. The Buyer must confirm the payment either via the online banking link or perform a manual transfer, and additionally notify the Seller via a separate email about the completed payment no later than 24 hours after pressing the “Order” button. If the payment is not confirmed or the Seller is not informed within this time frame, the Seller may consider the agreement as terminated. Items are reserved, and the Seller will process the order only upon receipt of the payment confirmation.
4.5. All communications and inquiries must be sent to the addresses listed in the “Contacts” section of the online store.
4.6. The Buyer must comply with all other requirements established in these Rules and applicable Lithuanian legislation.

5. SELLER’S RIGHTS

5.1. If the Buyer attempts to disrupt the operation or stability of the online store or breaches obligations, the Seller may, without prior notice, restrict, suspend, or terminate the Buyer’s access to the online store and shall not be liable for any resulting losses.
5.2. The Seller reserves the right to suspend or terminate the operation of the online store temporarily or permanently without prior notice and shall not be liable for any resulting losses.
5.3. The Seller may unilaterally amend these Rules by publishing the updated version on the online store’s website. The amendments take effect from the moment of publication and apply to all contracts concluded thereafter.
5.4. The Seller retains other rights as established in these Rules and the laws of the Republic of Lithuania.

6. SELLER’S OBLIGATIONS AND WARRANTIES

6.1. The Seller does not guarantee uninterrupted functionality of the online store or error-free data transmission but shall make reasonable efforts to ensure the proper use of services.
6.2. In the event of significant circumstances preventing the fulfillment of an order, the Seller shall offer an equivalent product or, if refused by the Buyer, refund the paid amount within 14 business days.
6.3. All Seller notices shall be sent to the email address provided by the Buyer during registration.
6.4. The Seller processes the Buyer’s personal data in accordance with the Privacy Policy.
6.5. The Seller undertakes to comply with all other requirements set forth in these Rules.

7. DELIVERY OF GOODS

7.1. Purchased goods must be collected from UAB “Brasa” showrooms within 3 business days from the Seller’s email notification.
7.2. Goods are delivered at the Buyer’s expense by a courier service, unless otherwise specified by the Seller.
7.3. When choosing home delivery, the Buyer must indicate the exact delivery address. Delivery fees depend on the courier’s pricing.
7.4. If goods are in stock, they are usually delivered to the indicated address within 3 business days after payment. The Seller does not guarantee delivery within the specified timeframe in all cases, especially if goods are not currently in stock. Delivery is available throughout the Republic of Lithuania, including the Curonian Spit (subject to additional fees).
7.5. Upon delivery, the Buyer or an authorized representative must inspect the packaging, quantity, quality, and assortment of goods together with the courier.
7.6. In case of discrepancies or damage, the Buyer and courier must record such issues immediately.
7.7. If the Buyer has properly recorded the issues in the delivery documents, they must notify the Seller in writing within 2 business days.
7.8. Once delivered to the address provided by the Buyer, the goods are considered received regardless of who accepts them. If delivery does not occur as expected, the Buyer must notify the Seller no later than the next business day.
7.9. If someone else will receive the goods, the Buyer must provide that person’s details when completing the delivery information.
7.10. A valid identity document (ID card, passport, or modern driver’s license) must be presented upon receipt. If the Buyer cannot accept the goods personally, and the goods are delivered to the specified address, the Buyer shall not have the right to make claims against the Seller regarding delivery to an unauthorized person.

8. LIABILITY

8.1. The Buyer is responsible for the accuracy of the information provided in the registration form and shall bear all consequences arising from any inaccuracies.
8.2. Any violations of the purchase and sale agreement concluded via the online store shall be resolved in accordance with the laws of the Republic of Lithuania.
8.3. The Buyer is responsible for the security of their login credentials and must not disclose them to third parties. All actions taken using the Buyer’s login credentials are deemed to be performed by the Buyer, who assumes full responsibility for such actions.
8.4. The Seller is not responsible for information provided on third-party websites, even if the Buyer accesses them via links on the Seller’s site.
8.5. The Seller is not liable if the goods displayed in the online store differ in color, shape, or other visual features due to the Buyer’s device display characteristics.

9. FINAL PROVISIONS

9.1. These Rules do not restrict the Buyer’s rights as established under the laws of the Republic of Lithuania, including rights relating to goods or services of unsatisfactory quality.
9.2. Any disputes arising between the Buyer and the Seller shall first be resolved through negotiation. If no agreement is reached, disputes shall be settled in accordance with the laws of the Republic of Lithuania.

By placing an order, the Buyer confirms that they have read and understood the Rules.
